Explanation of Responses:

(1) On January 25, 1995, KC Holdings, Inc. a Delaware Corporation, acquired
383,545.5 shares of common stock of Kimco Realty Corp. in exchange for all of
the outstanding shares of capital stock of KCH Properties, Inc., a Delaware
corp., and a wholly-owned subsidiary of KC Holdings, Inc. Milton Cooper, as
President, Director and a shareholder of KC Holdings, Inc. elects to report
ownership of all of the shares acquired by KC Holdings, Inc.

(2) Represents shares owned by Shirley Cooper, wife of Milton Cooper, as to
which shares Mr. Cooper disclaims beneficial ownership.
